Jason Reese has substantial experience advising public and private companies, private equity funds, venture capital funds, and high-net-worth individuals and families in complex transactions and commercial contracts.
His work includes mergers and acquisitions, leveraged buyouts, going-private transactions, divestitures, restructurings, recapitalizations, minority investments and executive compensation.
Jason is skilled in structuring, negotiating and closing transactions and has experience helping clients in a range of industries meet their business objectives. He navigates transactions efficiently, finds innovative solutions and, where necessary, de-escalates difficult situations. Jason is known for exceptional client service and his ability to see issues from his clients’ perspective.
Previously, Jason served as Vice President and Deputy General Counsel of CODA Holdings Inc., a manufacturer of electric vehicles and energy storage systems. During his tenure at CODA, he had primary responsibility for financing, acquisitions, international transactions and joint ventures, giving him valuable insight into the business needs of clients who are involved in deals and financing.

Experience
- Represented Raptor Labs Holdco LLC (Raptor Scientific) in its sale to TransDigm Group Inc. for approximately $655 million. Raptor Scientific is a leading global manufacturer of complex test and measurement solutions primarily serving the aerospace and defense end markets.
- Represented Resco Group, an affiliate of private equity firm Balmoral Funds LLC, in its $410 million sale to RHI Magnesita. Resco is a producer of shaped and unshaped refractories, including products for use in the petrochemical, cement, aluminum, and steelmaking industries.
- Represented Innovize and Excel Scientific, portfolio companies of private equity firm Vance Street Capital, in the acquisition of Zenith Adhesive Components (ZAC), a contract manufacturer based in Athlone, Ireland.
- Represented Industrial Service Solutions, an industrial MRO services platform and Wynnchurch Capital, L.P. portfolio company, in the sale of its inspection services segment, ISS Inspection Services, to Element Materials Technology.
- Represented an affiliate of Balmoral Funds LLC in the acquisition of Sensata Technologies’ (NYSE: ST) Insights business unit and rebranding it as Xirgo Technologies. Xirgo Technologies is renowned for its advanced internet of things (IoT) solutions, including Xirgo-branded vehicle and asset telematics hardware, SmartWitness AI driver cameras, and Elastic M2M enterprise-class software.
