John Tawadrous advises lenders, sponsors, and corporate borrowers on complex financing transactions across global markets.

He represents development finance institutions, export credit agencies, multilateral organizations, private credit funds, and commercial banks, as well as corporate clients, in structuring and executing financings that support enterprise growth, infrastructure development, and strategic investment.

With more than a decade of experience, John has a proven track record structuring  and negotiating a broad range of debt financings, including agency  finance, project finance, leveraged and acquisition finance, venture and growth capital, impact lending, and asset-based lending. He works across sectors such as energy, mining and critical minerals, manufacturing, technology, and life sciences. John regularly advises export credit agencies and development finance institutions on domestic and cross-border transactions, addressing legal, policy, and commercial considerations. He also supports private credit providers, investment banks,  corporates, and private equity sponsors on financings tied to acquisitions, infrastructure, growth capital, and debt restructuring matters.

Notably, John is a lead adviser to the Export-Import Bank of the United States (EXIM Bank) on its growing “Make More in America” (MMIA) domestic financing program. He has played a critical role in advising EXIM Bank on developing the legal and structural framework for MMIA, and led multiple landmark financings under the program, including co-financing transactions that blend sovereign backing with institutional private capital.  

John previously practiced in New York and Sydney, advising banks, sponsors, and corporates on a range of financing transactions. John brings a practical, deal-focused approach to every matter, aligning legal strategy with commercial objectives and managing transactions from structuring through execution. Clients rely on him for clear guidance, strong negotiation, and the ability to coordinate stakeholders to achieve timely, business-driven outcomes.

  • Adviser to the Export-Import Bank of the United States on direct loans and other credit support under the agency’s Make More In America domestic financing program, covering projects in the manufacturing, mining, energy, and critical minerals sectors.
  • As adviser to the Export-Import Bank of the United States on a $200 million financing provided to CesiumAstro Inc., a global leader in space and defense communications systems and satellites.
  • Advised on a $425 million cross-border project financing to fund a greenfield solar energy plant in South Asia.
  • Advised on a $65 million multi-country, multi-currency facility to support telecommunications infrastructure investments across Latin America.
  • Advised on the negotiation of a multibillion-dollar federal funding arrangement under the CHIPS Act (the largest award thereunder) between a multinational semiconductor corporation and the U.S. Department of Commerce.
  • Advised on acquisition financings, subscription facilities, growth credit facilities, and cross-border debt restructurings for private equity sponsors, corporates, and private credit funds.
