Vedder attorneys represent general partners and limited partners in the creation of private equity and hedge funds.
These funds include hedge funds, private equity funds, venture funds, mezzanine funds, leveraged-buyout funds, real-estate funds, specific industry funds and funds of funds. Our corporate attorneys work closely with those lawyers in the firm who specialize in tax, securities, ERISA and government regulatory matters to make certain that these funds, their management companies and advisers are structured properly to achieve the business, tax and investment goals of their investors. We also advise funds with respect to management fee and profit and loss allocation issues, employment arrangements, fiduciary obligations and investor-related matters. After the funds are formed, attorneys in the firm’s Finance & Transactions Group regularly represent them in the acquisition and disposition of portfolio investments.
