Benjamin Williams represents private equity sponsors, founders and business owners, healthcare professionals, family offices, strategic acquirers, and real estate sponsors in negotiating and closing complex corporate transactions efficiently and expeditiously.

He counsels clients on mergers and acquisitions, joint ventures, auctions, divestitures, 363 sales, ABC sales, restructurings, buy-outs, recapitalizations, minority investments, venture capital transactions and other commercial agreements. Ben’s clients include businesses with over $10 million in revenue and real estate sponsors involved in projects exceeding $50 million. For startup and middle-market clients, he also serves as outside general counsel where he counsels clients on commercial contracts, capital formation and general corporate matters. Whether advising on an acquisition, divestiture, managing a 363 transaction, or serving as outside general counsel, he finds innovative solutions that keep deals on track. Calm under pressure and skilled at defusing tension, he ensures that transactions move forward without being sidetracked by unnecessary disputes.

Experience

  • Represented private equity sponsored buyers in platform and add-on acquisitions for HVAC companies (including those in the commercial and residential space, with enterprise values ranging from $8 million to $60 million) and represented the private equity firms in their successful, multi-million-dollar sale of the platforms.
  • Represented a founder in the sale of a software company to a private equity buyer for $150 million.
  • Represented several real estate investors in the joint venture acquisition and construction of several real estate portfolios across the U.S.
  • Advised a manufacturer client, that struggled for years to expand its manufacturing operations in the U.S., on multiple strategic acquisitions that expanded its business from under $50 million in revenue to $300 million, positioning it as a sector leader.
  • Represented several medical practices in various acquisitions and dispositions of pediatric, behavioral health, allergy, family/internal medicine practices.
  • Represented companies in various industries in their sale to Employee Stock Ownership Plans (ESOP) in transaction sizes ranging from $20 million to $420 million.
  • Represented an equipment lender in its sub-$120mm sale to a strategic acquiror.
  • Represented a sleep medical practice (including its durable medical equipment (DME) business) in its platform sale to a private equity sponsored buyer’s management service organization (MSO).
  • Advised Valor Equity Partners in connection with multiple investments in the technology (including artificial intelligence products), healthcare, and apparel sectors.
  • Represented founders of an international cargo business in its sale with an enterprise value of $96 million.
  • Represented a private equity firm through multiple acquisitions (with rollover components and earnouts) of companies in the aviation/aerospace sector.
  • Advised on the organization and physician syndication of management services organizations (MSOs) for a variety of health service providers.
  • Represented a private equity sponsored buyer in a 363 acquisition of a restaurant franchise.
  • Represented a private equity sponsored buyer in an assignment for the benefit of creditors (ABC) acquisition of a retail business.
  • Represented a real estate sponsor in the joint venture acquisitions of several residential real estate assets.
