Cameron A. Gee

Cameron Gee represents owners, investors and financiers in global transportation finance transactions involving aircraft, rail and other equipment. He delivers business-savvy solutions backed by more than 25 years of experience.

Cameron’s practice includes all aspects of global transportation finance. He negotiates, structures and closes leasing and sales transactions, including cross-border deals, for assets located throughout the world. He is experienced with both traditional and bespoke financing vehicles and structures.

His work spans aircraft pre-delivery payment financings, EETCs, mortgage financings, leveraged leases, off-balance-sheet financings, securitizations, warehouse financings and aviation mergers, acquisitions and sales. He also advises on restructurings, resolves disputes and manages complex issues that arise regarding equipment ownership and financing. Efficient, responsive and solutions-focused, Cameron prides himself on driving solutions that add real-world value.

In addition to his active practice, Cameron represents Vedder on the Executive Committee of the Aviation Working Group’s Legal Advisory Panel, which focuses on facilitating international aviation financing and leasing.

Experience

• Advised Voyager Aviation as lead M&A and aircraft counsel in the $900 million sale of its aircraft portfolio as part of a Chapter 11 restructuring, Cameron addressed issues related to 747-8F aircraft located in Russia, participated in related insurance claims, and served as bankruptcy counsel for the Russian aircraft.
• Advised Swissport International in a $350 million financing secured by its global ground support equipment fleet, working with Swissport’s financial adviser, ABL Corporation. 
• Guided Macquarie AirFinance through the $2.2 billion acquisition and financing of more than 50 aircraft from ALAFCO Aviation Lease and Finance Company K.S.C.P.
• Represented AIP in its $300 million pre-delivery payment financing facliity to fund the acquisition of its fleet of Boeing aircraft.
• Served as counsel to Natixis as lead arranger and underwriter of a loan warehouse for funding JOLCO and JOL loans, made available to JP Lease and Blackstone.
