Devin Eager is a member of the firm’s Investment Services group.

He counsels investment advisers and unregistered investment vehicles, including private equity funds, hedge funds, venture capital funds, and other investment entities on fund formation, regulatory compliance, governance, and investment transactions, including co-investments, joint ventures, and secondary transactions. His practice spans the full range of private fund matters, from structuring, marketing, and side letter negotiations to adviser and general partner organization, incentive arrangements, and ongoing compliance. Devin also advises institutional investors, family offices, and fund boards on governance, regulatory issues, and significant transactions such as mergers and acquisitions.

Before joining Vedder, Devin worked at a Big 4 accounting firm, where he advised private equity and multinational clients on domestic and cross-border mergers, acquisitions, restructurings, and dispositions. He also gained experience at the U.S. Securities and Exchange Commission, Division of Enforcement, assisting with investigations into securities law violations, and at the New York State Supreme Court under the Honorable Joel M. Cohen.
