Kevin MacLeod advises corporate issuers, underwriters and investors on capital markets transactions with a focus on debt securities offerings. Known for practical solutions rooted in a deep understanding of U.S. securities laws, he represents clients in a variety of complex transactions.

Kevin primarily advises clients on Rule 144A and Reg S debt offerings, securitizations, private placements and U.S. registered public offerings. In his securitization practice, he regularly structures transactions across a range of asset classes, notably equipment loans and leases, aircraft loans, aircraft leases, aircraft engine leases and railcar leases. In his corporate debt offering practice, he regularly advises on investment-grade and high-yield bonds, enhanced equipment trust certificates (EETCs) and other bespoke debt offerings across industries such as airlines, aircraft lessors, equipment finance companies, railcar lessors and other industrials. Kevin also assists clients with tender offers, consent solicitations and liability management transactions.

He has advised issuers, underwriters and investors on more than 300 securities offerings with aggregate proceeds exceeding $100 billion. Many of these transactions received “deal of the year” recognition by industry publications.

Clients also seek Kevin’s counsel on compliance with U.S. federal securities laws, including the U.S. Securities Act of 1933, the U.S. Securities and Exchange Act of 1934, the U.S. Investment Company Act of 1940 and related rules and regulations.

Experience

  • Advised Aviation Capital Group on Rule 144A/Reg S offerings of investment grade unsecured notes aggregating more than $10 billion for general corporate purposes and the acquisition of aircraft.
  • Advised Stonebriar Commercial Finance on more than a dozen securitizations of equipment loans and leases.
  • Represented DLL entities as sponsor of securitizations of equipment loans and leases related to the agricultural, industrial, equipment, construction and offering equipment sectors.
  • Advised Macquarie AirFinance on Rule 144A/Reg S offerings of unsecured notes aggregating more than $4 billion for general corporate purposes and the acquisition of aircraft.
  • Represented the initial purchasers on the program of PKAIR aviation loan securitizations, aggregate more than $3 billion of issued notes.
  • Acted for SKY Leasing on the SLAM 2025-1, a Rule 144A/Reg S offering of $503 million of secured notes backed by a portfolio of 19 leased aircraft.
