Philip Mowery provides practical, market-based advice to companies and executives on employee benefits and executive compensation issues.
He has a particular focus on large private and public corporations in the pharmaceutical and life sciences industries and is known for his calm approach to negotiations.
In employee benefits, Phil guides his clients through day-to-day administrative challenges involving qualified and non-qualified retirement plans, including 401(k) plans, and employee health plans. He helps them maintain legislative and regulatory compliance, communicate plan changes, and resolve claims.
His executive compensation practice centers on negotiating employment agreements, severance arrangements and compensation programs, using his knowledge to help C-suite executives achieve market-level compensation.
Phil regularly represents management teams in complex transactions involving private equity, venture capital and publicly traded buyers, including post-transaction employment terms, restrictive covenant agreements (RCAs) and golden parachute provisions.
Experience
- Represented a management team in connection with a private equity/venture capital transaction, including negotiating their rollover agreement, deal-related restrictive covenant agreements, and ongoing employment and compensation arrangements.
- Represented a management team in a transaction involving a publicly traded strategic buyer, including deal-related restrictive covenant agreements and integrating the management team into the buyer’s executive compensation programs and long-term incentive plans.
- Resolved a significant payroll error for an employer, involving millions of dollars of missed retirement plan contributions. Addressed appropriate level of earnings to credit to participants' accounts and successfully communicated the correction without any significant adverse reaction from participants.
