Venu Talanki advises direct lenders, private credit funds, insurance companies and banks on all phases of private credit, leveraged finance and private placement debt transactions, from coming to terms on commitment papers to negotiating credit documents to navigating workouts and restructurings.
Venu’s 25 years of deal experience, along with his deep industry knowledge, have enabled him to represent a variety of clients and gain diverse insights into the financing market, especially in private equity sponsor finance and acquisition finance. His informed perspective on industry trends helps clients secure deals and drive negotiations. He also frequently speaks at “lunch and learn” events for clients, sharing the latest trends in the lending world.
Serving in a counselor capacity, Venu guides clients through a wide range of debt facilities, including senior secured facilities, unitranche debt, debt private placements, mezzanine financings, first-out/priority revolvers, first-lien/second-lien debt, split collateral deals and cross-border transactions, including those with co-investment and quasi-equity components.
As Vice Chair of the firm’s Finance & Transactions group and a member of the firm’s Board of Directors, Venu is skilled at quickly identifying issues and offering practical solutions with creative alternatives, all while moving rapidly and maintaining a sharp focus on the client’s end goal.
Experience
- Represented Monroe Capital LLC on the funding of a senior credit facility to support the growth and add-on acquisitions of Bridgeport and Newman Whitney by InCompass, an existing portfolio company of independent sponsor TJM Capital Partners.
- Led a $250 million refinancing transaction for a private equity firm to support the growth of an industrial MRO services platform.
- Guided the sole revolving lender in a priority revolver tranche of an $850 million credit facility for a sponsor-backed company in the FinTech space.
- Advised a private credit manager in senior credit facilities, mezzanine notes and equity co-investment to finance a private equity sponsor’s acquisition of a consumer products company.
- Guided an administrative agent and lead lender in a $90 million credit facility to support a private equity sponsor’s acquisition of a company in the aerospace and defense industry.
- Represented a private credit manager in a $100 million senior secured private placement financing with a company in the automotive services industry.
- Advised a left-lead lender in a $90 million syndicated credit facility to support a private equity sponsor’s acquisition of a company in the retail space.
- Represented a private credit manager in a senior secured private placement financing with an equipment dealer.
- Led an administrative agent and lead arranger in a $106 million restructuring of a sponsor-backed company’s senior secured debt resulting in transfer of equity to lenders.
